Terms and Conditions for Joining CTutor

Welcome to CTutor, an educational aggregator platform that connects students and tutors worldwide via mobile applications and a website (collectively referred to as the "Platform"). These Terms and Conditions (“Terms”) govern your use of the Platform, owned and operated by Britix Academy Pvt Ltd (“Company”, “we”, “us”, or “our”).

By accessing, browsing, or registering on our Platform, you (“User”, “you”) acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines referenced herein.

If you do not agree to these Terms, you must not access, use, or register on the Platform. Continued use of the Platform signifies your acceptance of any changes or modifications to these Terms.

      1.            DEFINITIONS

For the purposes of these Terms and Conditions, the following definitions shall apply:

                        1.1.            "User" refers to any individual or entity that accesses, browses, registers, or uses the CTutor platform. The term User collectively includes Students and Tutors, as defined below.

                        1.2.            "Student" means any individual or parent/guardian acting on behalf of an individual under 18 years of age who registers on the Platform to search for, communicate with, or engage the services of a Tutor for educational and training purposes.

                        1.3.            "Tutor" means any individual who registers on the Platform to offer educational, coaching, or training services to Students. Tutors create a profile, provide qualifications and experience details, and engage with Students through the Platform.

                        1.4.            "Platform" refers to the CTutor mobile application, website, and associated services owned and operated by Britix Academy Pvt Ltd.

                        1.5.            "Services" means all features, functionalities, content, and applications offered through the Platform, including but not limited to tutor listings, LMS tools, communication facilities, payment facilitation, and educational content management.

      2.            ELIGIBILITY

                        2.1.            You must be at least 18 years old to register as a User or use the Platform independently.

                        2.2.            For Students under 18 years of age, a parent or guardian must supervise usage and consent to the registration and activities.

                        2.3.            Tutors must be 18 years or older and must provide proof of qualification and identity, as and when required by the platform.

      3.            SERVICES

CTutor provides a technology-driven platform designed to connect Students and Tutors across the globe through a user-friendly mobile application and website. The Platform serves as a marketplace and learning management system (LMS) aggregator. Our core services include but are not limited to:

                        3.1.            Connecting Students and Tutors

                                          3.1.1.            Facilitating a comprehensive search and discovery system where Students can find Tutors based on qualifications, subjects taught, availability, mode of delivery (online/offline), teaching experience, ratings, and location.

                                          3.1.2.            Allowing Tutors to create verified profiles, advertise their services, offer group classes/batches, or provide one-on-one sessions to Students.

                                          3.1.3.            Enabling Students and Tutors to initiate communication via an in-app chat feature to discuss class schedules, expectations, and service details.

                                          3.1.4.            Providing a seamless onboarding process that includes identity verification for Tutors and basic validation for Students.

                        3.2.            Learning Management System (LMS) Services

                                          3.2.1.            Offering Tutors a professional Learning Management System (LMS) to organize and manage classes, including scheduling, batch creation, and class rescheduling or cancellation.

                                          3.2.2.            Allowing Tutors to assign homework, create and manage assignments, record student attendance, and track student performance through dashboards.

                                          3.2.3.            Enabling the creation of AI-assisted tests, quizzes, and worksheets, as well as maintaining a question bank for content generation and personalized assessments.

                                          3.2.4.            Facilitating the uploading and sharing of educational resources, study materials, course plans, and batch-specific instructions.

                                          3.2.5.            Managing Students’ progress tracking through calendars, progress reports, and assignment submissions.

                        3.3.            Communication and Engagement Tools

                                          3.3.1.            Providing individual and group chat facilities within the Platform for communication between Students and Tutors.

                                          3.3.2.            Allowing the sharing of files, images, polls, and assignments through secure in-app messaging.

                                          3.3.3.            Facilitating notification alerts for class schedules, homework due dates, feedback requests, and other platform activities.

      4.            PLATFORM FUNCTIONALITIES AND USER FEATURES

In addition to the core services outlined above, CTutor offers a wide range of platform functionalities to enhance user engagement, streamline operations, and support educational delivery. These features include but are not limited to:

                        4.1.            Learning Management System (LMS): CTutor’s integrated LMS empowers Tutors to efficiently manage academic operations, providing a structured and professional learning environment.

                                          4.1.1.            Batch Creation: Tutors can create multiple batches by specifying:

                                                            4.1.1.1.            Batch Name: A unique identifier for each batch.

                                                            4.1.1.2.            Subject: The subject or course being taught.

                                                            4.1.1.3.            Grade: The academic level or grade associated with the batch.

                                                            4.1.1.4.            Days and Timings of Classes: Tutors specify the days and timings the batch will occur.

                                                            4.1.1.5.            Class Duration: The duration of each session, as specified by the Tutor.

                                                            4.1.1.6.            Start and End Dates: The batch duration, including the start and end dates.

                                                            4.1.1.7.            Pricing: Tuition fees per class or monthly fee structure.

                                                            4.1.1.8.            Maximum Number of Students: Defines the maximum enrollment capacity per batch.

                                                            4.1.1.9.            Mode of Class Delivery: Tutors can offer virtual classes conducted via the Platform (Online) or in-person classes held at the Tutor’s premises or Student’s location (Offline).

                                          4.1.2.            Calendar Management: An auto-generated calendar is available for both Students and Tutors, reflecting scheduled batches, classes, and assignments.

                                          4.1.3.            Attendance Management: Tutors can mark attendance for each class session, which will be visible in the Student’s profile. The cumulative teaching hours for a Tutor are calculated based on the attendance records maintained within the Platform.

                                          4.1.4.            Homework Assignments: Tutors can assign homework to Students through the Platform. For each assignment, Tutors must provide:

                                                            4.1.4.1.            Assignment Title: A descriptive name for the task.

                                                            4.1.4.2.            Due Date and Time: Specifies when the homework is due for submission.

                                                            4.1.4.3.            Instructions: Detailed guidelines to help Students complete the assignment.

                                                            4.1.4.4.            Marks Allocation: Optionally, Tutors may assign marks for the assignment.

                                                            4.1.4.5.            Supporting Files: Tutors may attach relevant files or documents to the assignment.

Homework submissions by Students can be reviewed, commented upon, and graded by Tutors through the Platform.

                        4.2.            Communication Tools: Two types of communication channels are provided:

                                          4.2.1.            Batch Chat: Enables messaging among all Students and Tutors within a batch.

                                          4.2.2.            Individual Chat: Facilitates one-on-one communication between a Tutor and a Student.

Users may exchange text, images, documents, and even conduct polls to enhance engagement. CTutor does not monitor or assume responsibility for the content of these communications. All interactions are conducted at the Users’ discretion, and CTutor disclaims any liability concerning the content, accuracy, or appropriateness of shared materials.

                        4.3.            Resource Sharing

                                          4.3.1.            Tutors can upload study materials, notes, and resources for Student access through the Platform.

                                          4.3.2.            Content shared remains the responsibility of the uploading Tutor or Student. CTutor neither verifies the accuracy nor validates copyright ownership of uploaded materials. CTutor disclaims any responsibility for issues arising from the use, misuse, or infringement of copyright regarding shared resources.

                        4.4.            Question Bank:  Tutors have the ability to upload and manage their own Question Banks on the Platform, which can be used to create customized tests and worksheets.

                                          4.4.1.            Personal Repository: Tutors can store questions in their personal Question Bank for future use in tests, assignments, or quizzes.

                                          4.4.2.            Sharing with the CTutor Community: Tutors can choose to share their Question Banks with the wider CTutor community. Questions that are shared will be marked with the Tutor’s name as the creator. If other Tutors use these questions in their tests or quizzes, the original Tutor will earn redeemable points within the Platform.

                                          4.4.3.            Verification and Liability: CTutor does not verify the accuracy or correctness of the questions submitted by Tutors. It is the responsibility of the Tutor to ensure the content is accurate. Any use of shared questions by other Tutors is done at their own discretion and risk, relying on the assumption that the questions are verified for accuracy by the original Tutor. CTutor does not guarantee the accuracy and validity of question banks and their answers, it is the Tutor who created the question bank.

                                          4.4.4.            AI-Generated Content: Questions created through the AI-powered Test and Quiz creation tools are automatically stored in the Platform’s Question Bank and become the property of CTutor. These questions may be used by CTutor for future test and worksheet generation. CTutor does not guarantee the accuracy of AI-generated questions.

                        4.5.            Test Creation: Tutors can create customized tests using the Platform’s AI-powered Test Creation Tool. This tool allows Tutors to generate tests that are tailored to their specific teaching needs.

                                          4.5.1.            Test Configuration: Tutors can configure the following parameters for each test:

                                                            4.5.1.1.            Type of Test: Tutors can select from preset test types or create a custom test format.

                                                            4.5.1.2.            Test Name: A unique name for the test.

                                                            4.5.1.3.            Number of Questions: The total number of questions to include in the test.

                                                            4.5.1.4.            Level of Difficulty: Tutors can choose the difficulty level (Simple, Medium, or Complex).

                                                            4.5.1.5.            Curriculum: Define the curriculum or subject matter to which the test pertains.

                                                            4.5.1.6.            Due Date and Time: Set the deadline for submission.

                                                            4.5.1.7.            Test Duration: Specify the total duration allowed to complete the test.

                                                            4.5.1.8.            Marks per Question: Assign marks to each question.

                                                            4.5.1.9.            Negative Marking: Define negative marking for incorrect answers (if applicable).

                                                        4.5.1.10.            Passing Percentage: Specify the percentage required to pass the test.

                                                        4.5.1.11.            Number of Attempts Allowed: Set the number of attempts a student can make for the test.

                                                        4.5.1.12.            AI Instructions: Define the type of questions such as MCQ, subjective, integer type, and any other AI parameters for generating questions.

                                                        4.5.1.13.            Study Material Upload: Tutors can upload study materials (e.g., PDFs) that the AI will read to generate questions.

                                                        4.5.1.14.            Question Bank Selection: Tutors may also select questions from their own Question Bank or the community Question Bank for test creation.

                                          4.5.2.            Test Availability: Once created, the test will be available for students to attempt through their profiles until the due date.

                                          4.5.3.            Results and Feedback: Upon the completion of the test, Students will be able to view their results, including detailed feedback and analysis. Tutors can add suggestions and review the student’s performance to guide further improvement.

                        4.6.            Quiz Creation: Similar to tests, Quizzes can be created by Tutors to facilitate a more interactive and engaging learning experience. Quizzes have a gamified format, providing a competitive and fun element for Students.

                                          4.6.1.            Quiz Configuration: Tutors can create quizzes by either uploading a document for the AI to generate questions or selecting questions from their Question Bank.

                                          4.6.2.            Interactive Format: Students attempt the quiz in a multiplayer game format, enhancing engagement.

                                          4.6.3.            Result Recording: The marks scored by each student are recorded and saved in their profile for future reference.

                        4.7.            Worksheet Creation: Tutors can also create worksheets to complement the lessons and reinforce learning:

                                          4.7.1.            Worksheet Design: Worksheets can be created in a similar manner to tests and quizzes, allowing for customization of questions, content, and format.

                                          4.7.2.            Co-Branding Option: Tutors have the option to include their name as a co-creator on the worksheet, offering additional visibility for their contributions.

                        4.8.            Course Plan Creation: Tutors can create detailed Course Plans to guide the overall learning path for their batches.

                                          4.8.1.            Syllabus Breakdown: Tutors can divide the entire syllabus into manageable weekly chunks, ensuring structured progression.

                                          4.8.2.            AI-Generated Course Plans: CTutor offers AI-generated course plans, which are the intellectual property of CTutor. While Tutors can use these AI-generated plans, the quality and accuracy of the course plan must be validated by the Tutor.

                                          4.8.3.            Course Plan Upload: Tutors can upload their custom course plans for the reference of their Students, ensuring a consistent and well-organized educational experience.

                        4.9.            Class Management: CTutor enables Tutors to manage their classes efficiently through a suite of administrative tools:

                                          4.9.1.            Class Modifications: Tutors have the ability to create extra classes, reschedule existing classes, or cancel classes.

                                          4.9.2.            Notifications: Any changes made to class schedules will automatically trigger notifications to all affected Students within the batch.

                                          4.9.3.            Tutor Responsibility: Tutors are fully responsible for the actual delivery of classes. Any discrepancies or issues related to class attendance or content delivery must be addressed directly by the Tutor. If any issues are brought to CTutor’s attention, we will investigate and take appropriate action.

                    4.10.            Reviews and Ratings: Students will be prompted to submit reviews and ratings for their Tutors every two weeks as part of ongoing batch evaluations:

                                      4.10.1.            Rating System: A 5-star rating system will be used to gather feedback on the Tutor’s performance, based on criteria such as teaching quality, engagement, and effectiveness.

                                      4.10.2.            Review and Feedback: Reviews allow Students to provide more detailed feedback on their learning experience, while Tutors can use the feedback to improve their future lessons.

      5.            USER REGISTRATION

CTutor requires all Tutors and Students to complete the registration process before gaining access to the Platform’s services. The registration process is crucial for ensuring the accuracy and authenticity of user information. The terms for registration are as follows;

                        5.1.            Registration Requirements for Tutors: Tutors are required to submit the following verifiable information during the registration process:

                                          5.1.1.            Personal Details: Name, contact information, and photograph.

                                          5.1.2.            Qualifications: Tutors must provide valid proof of their qualifications, including degree certificates, diplomas, or other educational credentials. These qualifications will be verified by the Platform.

                                          5.1.3.            Identity Verification: Tutors must provide government-issued identity documents, such as Aadhaar, Passport, Driver’s License, for identity verification. These documents must be genuine and valid.

Tutors must explicitly consent that all documents submitted during registration are true, accurate, and up-to-date. Misrepresentation or submission of fraudulent information will lead to the suspension or termination of the Tutor’s account, at the sole discretion of CTutor.

                        5.2.            Registration Requirements for Students: Students must submit the following during registration:

                                          5.2.1.            Personal Details: Name, email address, and phone number.

                                          5.2.2.            Contact Information Verification: Students must verify their email and phone number through an automated verification process. This verification ensures the authenticity of the student’s contact details.

Students are responsible for ensuring the accuracy of the contact details provided. Any misrepresentation may lead to restrictions on account usage or suspension.

                        5.3.            Account Creation and User Access

                                          5.3.1.            Account Creation: Both Tutors and Students are required to create individual accounts by providing the necessary personal and verification details. An account is necessary to access the Platform’s services, including course enrollment, class scheduling, and communication features.

                                          5.3.2.            Account Approval: Accounts will be subject to review and approval by CTutor. CTutor reserves the right to reject or approve registration requests at its sole discretion.

                                          5.3.3.            User Access: Upon successful registration and account approval, Users will be granted access to the Platform, subject to these Terms and Conditions and other policies of the Platform. Users must ensure the security of their login credentials and are responsible for all activities under their account.

                        5.4.            Platform’s Right to Suspend or Terminate Accounts: CTutor reserves the right to suspend or terminate any account for the following reasons:

                                          5.4.1.            Breach of Terms: If a user violates the Terms and Conditions, including but not limited to fraudulent activities, misrepresentation, or inappropriate conduct.

                                          5.4.2.            Fraudulent Behavior: Any attempt to manipulate, falsify, or submit fraudulent information during the registration or usage process will result in immediate suspension or termination.

                                          5.4.3.            Non-Compliance with Registration Requirements: Failure to meet the registration requirements, such as submitting invalid or unverifiable documents, may lead to account suspension.

                                          5.4.4.            Inactive Accounts: Accounts that are inactive for an extended period may be subject to suspension or deletion as per CTutor’s policies.

In the event of account suspension or termination, CTutor may provide the affected user with the reasoning for such action, and the user may be permitted to appeal the decision in accordance with the Platform’s policies.

      6.            PAYMENTS, FEES, AND SUBSCRIPTION MANAGEMENT

CTutor provides a flexible, subscription-based model for Tutors to access and utilize the Platform’s features, as well as a secure system for processing payments between Students and Tutors. Below is a detailed breakdown of our payments structure:

                        6.1.            Subscription Fees for Tutors

                                          6.1.1.            Subscription Plans:

                                                            6.1.1.1.            To access and utilize the Platform’s features, including creating a Tutor profile, engaging with Students, and using academic management tools, Tutors are required to maintain an active subscription.

                                                            6.1.1.2.            Subscription fees shall apply and will be charged in accordance with the pricing plans made available on the Platform at the time of registration or renewal. The Platform may offer various subscription tiers (e.g., monthly, quarterly, half-yearly, or annual), each with distinct features, durations, and applicable pricing.

                                                            6.1.1.3.            All fees are subject to applicable taxes and may be revised from time to time at the sole discretion of the Platform. Tutors are encouraged to review the current subscription plans periodically to stay informed of any updates or modifications.

The subscription fees are charged to enable Tutors to create profiles, engage with Students, and use the Platform’s tools for academic management.

                                          6.1.2.            Payment Methods: Payments for subscriptions can be made via the CTutor app or external methods, depending on user preferences and local regulations.

                        6.2.            Payments Between Students and Tutors

                                          6.2.1.            Direct Payments: Students and Tutors are encouraged to settle payments directly between themselves for individual sessions or agreed-upon packages. CTutor does not charge any commission for these transactions.

                                          6.2.2.            Escrow Payment Facility: CTutor offers an optional escrow service where the Student’s payment is held by the Platform in a secure account and disbursed to the Tutor at regular intervals as per the agreed schedule. This service aims to provide security and assurance to both parties.

                                          6.2.3.            Platform Fee for Escrow: If a Student or Tutor chooses to use the escrow service, a platform fee will be applied, along with applicable taxes, which will be communicated at the time of the transaction.

                                          6.2.4.            Additional Charges: Students and Tutors should be aware that certain payments may be subject to additional charges, such as taxes, platform fees, or other transaction-related costs, which will be clearly communicated at the time of payment processing.

                        6.3.            Liability and Dispute Resolution

                                          6.3.1.            No Liability for Direct Payments: CTutor is not liable for any payment disputes or issues that may arise between Students and Tutors when payments are made directly outside of the escrow system.

                                          6.3.2.            Escrow Payments and Disputes: In the case of disputes related to payments made via the escrow system, CTutor will take appropriate measures to assist in resolving the issue. However, CTutor’s involvement is limited to acting as an intermediary and does not extend to resolving disagreements regarding the quality of service or non-performance.

      7.            POINTS AND BADGES SYSTEM

CTutor offers a Points and Badges system to recognize and reward active participation, engagement, and performance of both Tutors and Students. The system encourages users to maximize their experience on the Platform and provides an opportunity for Tutors and Students to gain visibility, recognition, and rewards based on their activity.

                        7.1.            Earning Points for Tutors: Tutors can accumulate points through the following activities:

                                          7.1.1.            Initial Points: Tutors will receive a set number of points upon making their initial subscription payment to join the Platform. These points are granted to mark the beginning of your journey on the platform.

                                          7.1.2.            Student Enrolment: Tutors earn 20 points for each student that joins their batch. This is intended to incentivize Tutors to engage more students and expand their teaching reach.

                                          7.1.3.            Test Usage: Tutors earn 5 points for every Student who participates in a test created by them. If multiple students take the same test, the points accumulate accordingly, rewarding Tutors for the popularity and engagement of their tests.

                                          7.1.4.            Referrals: Tutors can earn 100 points for each successful referral of a new User be it Student or Tutor to the platform. The referred individual must complete the registration process for the points to be credited.

                        7.2.            Earning Points for Student: Student can accumulate points through the following activities:

                                          7.2.1.            Referrals: Students will earn 50 points for every friend they refer to the platform who successfully registers and starts using the service.

                                          7.2.2.            Test Performance: Students can earn 10 points for achieving a score above 80% on any test they complete. These points are designed to encourage continuous improvement and academic excellence.

                        7.3.            Redeeming Points

                                          7.3.1.            For Tutors: Tutors can redeem the points they have earned in the following ways:

                                                            7.3.1.1.            Profile Advertising: Tutors can use 200 points per month to have their profile featured higher in search results within the app. This increased visibility can help Tutors attract more students and grow their teaching business.

                                                            7.3.1.2.            Batch Advertisement: Tutors can spend 200 points to advertise their batches on the home screen of the app. The advertisement will run for two weeks and is displayed with four template options to choose from. The system will track clicks and bookings resulting from the ads, offering Tutors insights into the effectiveness of their promotional efforts.

                                          7.3.2.            For Students: Students have limited options for redeeming their points:

                                                            7.3.2.1.            Leaderboard Participation: Students can use their points to improve their ranking on the leaderboard, which is based on academic performance, participation, and other factors. This allows for recognition and potential rewards based on a student’s relative standing among peers.

      8.            BADGES SYSTEM

The Badges system serves as a symbol of recognition for Tutors, reflecting their teaching quality, student feedback, and overall engagement. Badges reward consistent teaching efforts and student interaction, celebrating both quantity and quality in teaching.

                        8.1.            Badge Levels for Tutors:

                                          8.1.1.            Unranked Badge (Registration): Awarded to Tutors upon completing registration and profile approval. This badge signifies the commencement of their teaching journey and their readiness to inspire students.

                                          8.1.2.            Bronze Badge: This badge is awarded to Tutors who have taken their initial steps in engaging with students and demonstrate consistent teaching efforts.

                                          8.1.3.            Silver Badge: Awarded to Tutors who have reached a significant milestone in their teaching journey, indicating increased involvement and impact on student learning.

                                          8.1.4.            Gold Badge: Celebrates Tutors who show continued dedication, increasing their contributions to student learning and achieving higher teaching standards.

                                          8.1.5.            Diamond Badge: A prestigious badge for Tutors who demonstrate exceptional consistency, dedication, and impact on students. Tutors who earn this badge are recognized for their outstanding contributions to the platform.

                                          8.1.6.            Platinum Badge: The Platinum Badge represents outstanding achievement and excellence in teaching. Awarded to Tutors who maintain exemplary standards and demonstrate superior performance in the long term.

                                          8.1.7.            Professional Badge: This elite badge is reserved for Tutors who achieve the highest level of success on the Platform, showcasing unparalleled mastery, experience, and a deep, long-term commitment to education.

                        8.2.            General Terms of the Points and Badges System

                                          8.2.1.            Point Expiry: Points may expire after a defined period of inactivity on the platform. The specific terms regarding expiration or forfeiture of points will be communicated to users through notifications.

                                          8.2.2.            Eligibility for Redemption: Points may only be redeemed for the services or rewards currently offered by CTutor and are non-transferable to other users or external platforms.

                                          8.2.3.            No Cash Value: Points and Badges have no cash value and cannot be exchanged for real money. They are purely for internal use on the Platform for recognition, promotion, and engagement purposes.

                                          8.2.4.            Platform Modifications: CTutor reserves the right to change, suspend, or discontinue the Points and Badges system at any time. Any changes will be communicated to users in advance through the Platform.

      9.            USER RESPONSIBILITIES

By accessing and using the CTutor Platform, both Tutors and Students agree to the following responsibilities:

                        9.1.            Accuracy of Information: Tutors must ensure that the qualifications, identity documents, and any other submitted information are legitimate, authentic, and up-to-date. Students must provide accurate and valid contact information and keep it updated. Any changes to contact details should be promptly updated on the Platform.

                        9.2.            Account Security: Users are responsible for maintaining the confidentiality of their account credentials, including usernames and passwords. Users are responsible for all activities that occur under their accounts, regardless of whether the activity was authorized. Users must immediately notify CTutor if they suspect unauthorized use or any security breaches of their accounts.

                        9.3.            Compliance with Laws: Users agree to comply with all applicable local, national, and international laws, regulations, and standards while using the Platform. Tutors must ensure that the content they create (e.g., educational materials, tests, homework) complies with copyright laws, intellectual property rights, and is free from plagiarism. Students agree to use the Platform solely for educational purposes and refrain from engaging in activities that disrupt or harm the learning experience of other Users.

                        9.4.            Prohibited Conduct: Users agree not to:

                                          9.4.1.            Engage in Fraudulent or Misleading Activity: This includes providing false information, using deceptive practices, or engaging in any form of fraud on the Platform.

                                          9.4.2.            Harass, Abusive, or Discriminatory Behavior: Users must not engage in harassing, abusive, discriminatory, or illegal conduct toward other Users. This includes but is not limited to inappropriate language, harassment, threats, or discriminatory remarks.

                                          9.4.3.            Upload or Share Inappropriate Content: Users must not upload, share, or distribute any content that is illegal, offensive, defamatory, obscene, or infringes upon the rights of others such as intellectual property rights.

                                          9.4.4.            Circumvent Platform Processes: Users must not attempt to bypass the Platform’s security measures or interfere with the operation of the Platform in any way.

                        9.5.            Interaction with Other Users: Users are responsible for their interactions with other Users on the Platform. CTutor is not responsible for any disputes or issues that arise between Tutors and Students. Users must exercise caution and due diligence when engaging in online or offline interactions, including arranging classes or sharing personal information.

                        9.6.            Use of the Platform’s Features: Tutors and Students must use the Platform’s tools such as messaging, assignment submission, test-taking, etc., responsibly and solely for educational purposes. Users must not attempt to reverse-engineer, decompile, or otherwise tamper with the Platform’s features or underlying code. Users agree to abide by any usage limits, guidelines, or instructions provided by CTutor regarding the use of the Platform’s services.

                        9.7.            Reporting Violations: Users are encouraged to report any violations of these Terms, including inappropriate content, fraudulent behavior, or other breaches of Platform policies. Reports can be submitted through the designated channels on the Platform. CTutor will investigate reports and take appropriate action, which may include suspension, termination, or other disciplinary measures as deemed necessary.

                        9.8.            Obligation to Cooperate: Users must cooperate with CTutor in the event of an investigation into any suspicious activity or breach of these Terms. Failure to cooperate may result in the suspension or termination of the user’s account.

  10.            CONFIDENTIALITY

                    10.1.            Both Tutors and Students acknowledge and agree to maintain the confidentiality of any information shared through the Platform that is not intended for public disclosure. This includes but is not limited to personal information, educational materials, test data and results and communication records.

                    10.2.            Users shall not disclose, disseminate, reproduce, or share any confidential information obtained through CTutor outside the Platform, unless expressly authorized by the other party or required by Law.

                    10.3.            CTutor also commits to safeguarding confidential information provided by Users, except where disclosure is necessary to comply with legal obligations, protect rights, enforce Terms and Conditions, or in the event of disputes or investigations related to the Platform’s use.

  11.            DATA PROTECTION

                    11.1.            CTutor is committed to protecting the personal information of its Users in accordance with applicable data protection laws. By using the Platform, Users consent to the collection, use, storage, and processing of their personal data, including but not limited to names, contact details, identity information (for Tutors), educational details, and activity logs, for the purpose of providing and improving our services.

                    11.2.            For more detailed information on how your personal data is collected, used, shared, and protected, Users are encouraged to carefully review our Privacy Policy.

  12.            INTELLECTUAL PROPERTY

                    12.1.            All content, features, design, graphics, text, software, and other materials available on the CTutor Platform, including but not limited to the underlying source code, trademarks, logos, and any proprietary content (collectively, the "Platform Content"), are the exclusive property of CTutor and are protected by copyright, trademark, and other intellectual property laws.

                    12.2.            CTutor retains full ownership of all Platform Content and any enhancements, modifications, or derivative works created by CTutor. Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purposes as outlined in these Terms and Conditions.

                    12.3.            Users retain ownership of the content they create or upload, including but not limited to teaching materials, question banks, tests, quizzes, homework, and any other educational content (collectively, "User Content"). By uploading or sharing User Content on the Platform, Users grant CTutor a worldwide, royalty-free, sublicensable license to use, display, modify, and distribute such content solely for the purposes of operating, promoting, and improving the Platform.

                    12.4.            CTutor reserves the right to revoke or terminate the license granted to Users if any violations of these intellectual property rights are identified. Upon termination of a User’s account, any rights to access or use the Platform Content and User Content shall cease.

  13.            INDEMNITY

                    13.1.            Tutors and Students agree to indemnify, defend, and hold harmless CTutor, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney’s fees) arising out of or related to:

                                      13.1.1.            Their use of the Platform,

                                      13.1.2.            Their provision or receipt of educational services,

                                      13.1.3.            Any disputes, misunderstandings, payments, non-payments, or service issues between Tutors and Students,

                                      13.1.4.            Any breach of these Terms and Conditions or violation of applicable laws or third-party rights.

                    13.2.            In the event of any loss, damage, or dispute arising between a Tutor and a Student, whether related to payments, service quality, performance, or any other matter, such matters must be settled solely between the Tutor and the Student.

                    13.3.            Either User (party) may seek indemnification, damages, or remedies directly from the opposite User (party) involved, but under no circumstances shall CTutor be responsible, liable, or obligated to intervene, compensate, or indemnify either the Tutor or the Student for any such losses or claims.

  14.            LIMITED LIABILITY

                    14.1.            To the fullest extent permitted by applicable law, CTutor, its directors, officers, employees, affiliates, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages whatsoever, including but not limited to:

                                      14.1.1.            Loss of profits, revenue, data, goodwill, or other intangible losses,

                                      14.1.2.            Personal injury,

                                      14.1.3.            Errors, omissions, or inaccuracies in any content,

                                      14.1.4.            Unauthorized access to or alteration of your transmissions or data,

                                      14.1.5.            Interactions or disputes between Tutors and Students, whether online or offline,

                                      14.1.6.            Any failure of a Student to pay, or of a Tutor to deliver services as agreed,

                                      14.1.7.            Content or materials uploaded or shared by Users, including but not limited to question banks, tests, quizzes, or study resources.

                    14.2.            CTutor acts solely as a facilitator between Tutors and Students and does not guarantee the quality, timing, legality, accuracy, or any other aspect of services delivered by Users.

                    14.3.            Your use of the Platform is at your sole risk. CTutor shall not be liable for any liability to any User, whether in contract, tort including negligence, or otherwise, if any, for accessing or using the Platform.

  15.            DISCLAIMER

CTUTOR PROVIDES THE PLATFORM, ITS SERVICES, AND ALL RELATED CONTENT ON AN “AS-IS” AND “AS-AVAILABLE” BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION, CONTENT, SERVICES, OR MATERIALS PROVIDED BY TUTORS, STUDENTS, OR THIRD PARTIES THROUGH THE PLATFORM. CTUTOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL OPERATE UNINTERRUPTED, BE ERROR-FREE, OR BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. CTUTOR DOES NOT ENDORSE OR GUARANTEE THE QUALITY, SUITABILITY, OR OUTCOMES OF ANY EDUCATIONAL SERVICES OFFERED BY TUTORS OR THE EFFECTIVENESS OF THE LEARNING EXPERIENCES PROVIDED. USERS ENGAGE WITH EACH OTHER AT THEIR OWN RISK AND ARE SOLELY RESPONSIBLE FOR VERIFYING ANY INFORMATION OR SERVICES BEFORE RELYING UPON THEM.

  16.            ACCOUNT SUSPENSION AND TERMINATION

                    16.1.            CTutor reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate a User’s account and access to the Platform under the following circumstances:

                                      16.1.1.            Violation of Terms: If the User breaches any provisions of these Terms and Conditions, Privacy Policy, or any other policies incorporated herein.

                                      16.1.2.            Fraudulent, Misleading, or Inaccurate Information: If a User provides false, misleading, inaccurate, or incomplete information during registration or in connection with the use of the Platform.

                                      16.1.3.            Illegal Activities: If a User engages in any unlawful activities or uses the Platform for illegal purposes.

                                      16.1.4.            Inappropriate Conduct: If a User engages in harassment, abuse, discrimination, or any conduct deemed inappropriate toward other Users, CTutor representatives, or third parties.

                                      16.1.5.            Security Risks: If a User’s conduct poses a security risk to the Platform, its systems, or other Users.

                                      16.1.6.            Inactive Accounts: Accounts that remain inactive for an extended period may be suspended or deleted in accordance with CTutor’s internal policies.

                                      16.1.7.            At User’s Request: A User may request termination of their own account by submitting a written request to CTutor’s support team.

                    16.2.            Upon suspension or termination:

                                      16.2.1.            The User’s right to access or use the Platform shall immediately cease.

                                      16.2.2.            CTutor may delete or deactivate the User’s profile and related information.

                                      16.2.3.            CTutor shall have no liability whatsoever for any termination of the User’s account or related deletion of information.

                    16.3.            Termination of a User’s account does not relieve the User of any payment obligations incurred prior to termination or any liabilities arising out of a breach of these Terms and Conditions.

                    16.4.            CTutor retains the right to take legal action, including seeking damages, injunctive relief, or other remedies as appropriate under applicable law.

  17.            DISPUTE RESOLUTION

                    17.1.            CTutor acts solely as a facilitator connecting Tutors and Students and is not a party to any agreements, transactions, or interactions between Users. Accordingly, CTutor shall bear no liability, obligation, or responsibility in relation to any dispute, controversy, or claim arising between a Tutor, Student, or any other User regarding services, payments, communications, or other dealings conducted through the Platform.

                    17.2.            In the event of any such dispute, controversy, or claim, the Users involved shall first attempt to resolve the matter amicably through direct negotiations in good faith. While CTutor may, at its sole discretion, offer limited assistance to facilitate communication between the parties, it shall have no duty or obligation to mediate, resolve, or bear any liability in connection with the outcome.

                    17.3.            If a dispute between Users cannot be resolved within thirty (30) days of written notice by either party to the other, the Users may pursue legal remedies available to them independently and at their own cost. Under no circumstances shall CTutor be made a party to such proceedings.

                    17.4.            Separately, any dispute, controversy, or claim directly involving CTutor relating to the interpretation or enforcement of these Terms and Conditions shall be referred to binding arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended) of India.

                    17.5.            The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Pune, Maharashtra, India. The language of the arbitration shall be English.

                    17.6.            Pending the resolution of any dispute, the obligations of the Users under these Terms shall continue unaffected. Notwithstanding the foregoing, CTutor retains the right to seek injunctive or equitable relief from courts of competent jurisdiction to prevent unauthorized use of its intellectual property, or confidential information.

  1. GOVERNING LAW AND JURISDICTION

                    18.1.            These Terms and Conditions, and any dispute, claim, or controversy arising out of or relating to them, the Platform, or any services provided through CTutor, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

                    18.2.            Subject to the Dispute Resolution clause above, the courts located in Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes arising out of or in connection with the interpretation, validity, or enforcement of these Terms and Conditions, or the use of the Platform.

  19.            SEVERABILITY

                    19.1.            If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The unenforceable provision will be deemed modified to the minimum extent necessary to make it enforceable.

  20.            FORCE MAJEURE

                    20.1.            CTutor shall not be held liable for any failure or delay in the performance of its obligations under these Terms and Conditions if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, terrorism, war, labor disputes, technical failures, pandemics, or any other unforeseen event that prevents or delays the execution of services.

                    20.2.            In the event of a force majeure situation, CTutor will make reasonable efforts to resume the affected services as soon as reasonably possible.

  21.            AMENDMENT

                    21.1.            CTutor reserves the right to modify, update, or amend these Terms and Conditions at any time at its sole discretion. Any changes will become effective immediately upon posting on the Platform, unless otherwise specified. Users are responsible for reviewing the Terms periodically. Continued use of the Platform after any amendments constitutes acceptance of the revised Terms. If a User does not agree to the amended Terms, they must discontinue use of the Platform immediately.
